1. Agreement to Terms

By accessing our website at ntechdigitals.com or engaging any service offered by NTech Digitals ("we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please do not use our website or engage our services.

These Terms constitute a legally binding agreement between you and NTech Digitals. By submitting a lead form, signing a service proposal, making a payment, or otherwise engaging our services, you confirm your acceptance of these Terms.

2. Services Provided

NTech Digitals provides digital marketing and SEO services, including but not limited to:

• Local SEO — on-page and off-page optimization targeted at local search rankings.
• Google Business Profile (GBP/GMB) Optimization — improving Google Maps visibility and local pack presence.
• Website Design & Redesign — conversion-focused, SEO-ready website development.
• Programmatic SEO — large-scale content and page generation for search visibility.
• Backlink / Link Building Services — white-hat authority link acquisition.
• Content Marketing — SEO-optimized content creation and distribution.
• Free SEO Audit — a complimentary website audit provided as a business development service.

The specific scope of services, deliverables, timelines, and fees for each engagement will be outlined in a separate Service Agreement or Proposal provided to the Client.

3. No Ranking Guarantee & SEO Disclaimer

Search engine algorithms (including Google's) are owned and operated by third parties, are proprietary, and are subject to change without notice. Ranking outcomes are influenced by many factors outside our control, including but not limited to:

• Google algorithm updates and policy changes.
• Competitor activity and market conditions.
• The age, authority, and technical health of the client's website and GBP listing.
• The competitiveness of target keywords and geographic market.
• Client compliance with our recommendations and cooperation during the engagement.
• Third-party actions (e.g., negative reviews, listing suspensions) outside our control.

We commit to applying industry best practices, proven methodologies, and our best professional efforts on every engagement. Past results shared in our portfolio or case studies are illustrative and not a guarantee of future performance.

4. Client Obligations

To enable effective service delivery, the Client agrees to:

• Provide accurate, complete, and up-to-date information about their business, website, and marketing goals.
• Respond promptly to requests for content approvals, feedback, and decisions (typically within 5 business days).
• Ensure they have the legal right to use all content, images, trademarks, and business information provided to us for service delivery.
• Not engage in activities that violate Google's Guidelines for representing your business or any applicable platform policies.
• Inform us promptly of any changes to their business, website, GBP listing, or other relevant accounts.
• Pay all fees in accordance with the agreed payment schedule.

Failure to fulfil client obligations may delay service delivery, reduce campaign effectiveness, or result in additional charges. NTech Digitals shall not be held liable for performance gaps arising from client non-compliance.

5. Google Business Profile (GBP) & Account Access

For GBP optimization and related local SEO services, the Client may be required to:

• Grant NTech Digitals manager-level access to their Google Business Profile.
• Provide access to Google Search Console, Google Analytics, or other third-party tools as required.
• Authorize us to post updates, respond to reviews, add photos, and optimize listing attributes on their behalf.

The Client retains ownership of their GBP listing and all associated accounts at all times. NTech Digitals will never request ownership transfer of your GBP. All access will be revoked upon termination of services.

The Client acknowledges that Google Business Profile listings are subject to Google's policies and may be suspended or penalized by Google for reasons outside NTech Digitals' control, including policy violations committed by the Client or third parties.

6. Payment & Fees

6.1 Fees

Service fees will be outlined in the Service Agreement or Proposal. Fees are payable in Indian Rupees (INR) unless otherwise agreed in writing. Quoted prices are exclusive of applicable taxes (GST) unless stated otherwise.

6.2 Payment Terms

Unless otherwise agreed, payment terms are as follows:

• Setup fees and first-month fees are due before services commence.
• Recurring monthly fees are due on or before the 5th of each billing month.
• Website design projects require a 50% deposit before work commences, with the balance due upon delivery.

6.3 Late Payment

Services may be suspended for accounts with outstanding invoices beyond 15 days past due. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.4 Refund Policy

Due to the nature of SEO and digital marketing services (where work begins immediately), fees paid are generally non-refundable. Any refund requests must be raised within 7 days of the charge and will be evaluated on a case-by-case basis. Refunds, if approved, will be credited within 14 business days.

7. Intellectual Property

7.1 Client Content

The Client retains ownership of all content, data, logos, trademarks, and materials they provide to NTech Digitals. By providing such materials, the Client grants NTech Digitals a non-exclusive license to use them solely for service delivery purposes.

7.2 Deliverables

Upon full payment of all outstanding fees, ownership of client-specific deliverables (e.g., website files, written content created specifically for the client) transfers to the Client. However, NTech Digitals retains the right to use anonymised or aggregated data, methodologies, tools, templates, and processes developed during the engagement for other clients and business purposes.

7.3 NTech Digitals IP

All proprietary tools, frameworks, methodologies, and processes developed by NTech Digitals remain our exclusive intellectual property and are not transferred to the Client under any circumstances.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, pricing, client data, and proprietary processes. This obligation survives the termination of services. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• NTech Digitals' total liability to the Client for any claim arising from services rendered shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
• NTech Digitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
• NTech Digitals is not liable for any actions taken by Google, third-party platforms, or algorithm changes that negatively affect a client's rankings, GBP listing status, or website traffic.
• NTech Digitals is not liable for any ranking penalties arising from the Client's own actions, including publishing content that violates platform guidelines.

10. Third-Party Platforms & Tools

Our services may involve the use of third-party platforms, tools, and services (including but not limited to Google Search Console, Google Analytics, Google Business Profile, social media platforms, and SEO tools). The Client acknowledges that:

• These platforms are owned by third parties and are subject to their own terms of service and policies.
• NTech Digitals has no control over third-party platform policies, availability, or changes.
• Costs for third-party tools required for your specific campaign (if any) will be disclosed in advance.

11. Termination

11.1 Termination by Client

The Client may terminate services by providing 30 days' written notice. All fees due up to the termination date remain payable. Fees paid for the current billing period are non-refundable.

11.2 Termination by NTech Digitals

NTech Digitals reserves the right to terminate services immediately if:

• The Client fails to pay outstanding invoices within 30 days of the due date.
• The Client acts in a manner that is abusive, threatening, or discriminatory toward our team.
• The Client requests services that violate Google's guidelines, platform policies, or applicable law.
• Continuing the engagement would require NTech Digitals to engage in unethical practices.

11.3 Effect of Termination

Upon termination, NTech Digitals will revoke all access to client accounts and deliver any outstanding client-owned deliverables (subject to full payment). All confidentiality obligations survive termination.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless NTech Digitals, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) the Client's use of our services; (b) any content the Client provides; (c) any violation of these Terms; or (d) any violation of applicable laws or third-party platform policies by the Client.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days from written notice of the dispute.

14. Changes to Terms

NTech Digitals reserves the right to update or modify these Terms at any time. We will notify existing clients of material changes via email. Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
